Responsibilities of PolarByte
Delivery of Services:
We are committed to executing all projects with diligence, professionalism, and expertise. This includes adhering to timelines, delivering high-quality solutions, and ensuring that project deliverables meet agreed-upon specifications.
Communication:
Transparent and regular communication is a cornerstone of our service delivery. PolarByte will provide timely updates on project progress, anticipated challenges, or potential changes to scope or timelines. This ensures that clients remain informed and can make well-informed decisions during the project lifecycle.
Confidentiality:
PolarByte guarantees the strict confidentiality of all client-provided data, including proprietary information, trade secrets, and sensitive business details. This commitment remains in effect during the project and continues indefinitely after project completion, reflecting our dedication to data security and client trust.
Responsibilities of the Client
Accurate Information:
Clients must provide PolarByte with complete and accurate information regarding their requirements, objectives, and constraints. This ensures that the solutions we develop align with the client’s business needs and expectations.
Timely Feedback:
Collaboration is critical to the success of any project. Clients are responsible for reviewing deliverables promptly, offering constructive feedback, and approving milestones within agreed timeframes. Delays in feedback or approval may result in project delays or additional costs.
Payment Obligations:
Clients agree to adhere to the payment terms outlined in the contract, proposal, or invoice. Payments must be made on time to avoid disruptions in service delivery. Any outstanding payments must be resolved before the final handover of deliverables.
Limitation of Liability
Indirect or Consequential Damages:
PolarByte shall not be held liable for indirect, incidental, or consequential damages arising from the use or inability to use the solutions we provide. This includes, but is not limited to, loss of revenue, profits, data, or business opportunities.
Liability Cap:
PolarByte's liability is strictly limited to the fees paid by the client for the specific project in question. This limitation ensures a fair balance of risk and accountability while protecting both parties in unforeseen circumstances.
Intellectual Property
Ownership of Deliverables:
Upon full payment of the agreed project fees, ownership of the developed software, applications, or solutions will transfer to the client, unless specified otherwise in the contract. This includes source code, documentation, and any other agreed deliverables.
Licensing of Components:
PolarByte retains the right to use any generic components, tools, or reusable frameworks developed during the project for future endeavors. These components exclude client-specific customizations or proprietary elements that are unique to the project. This approach allows us to continuously innovate and enhance our services while respecting client-specific intellectual property rights.
Use of Project for Portfolio:
Unless explicitly prohibited, PolarByte may showcase non-confidential aspects of the project, such as design concepts or generic technical solutions, as part of our portfolio or marketing efforts. Any such usage will exclude proprietary information or details that could compromise the client’s business interests.
